EXCLUSIVE CONFIDENTIALITY AGREEMENT

This Exclusive Confidentiality Agreement (the “Agreement”) is made and entered into as of March 19, 2026 between [DTE Entity Name] DTE (“DTE”), whose address is One Energy Plaza, Detroit, Michigan 48226, and AMPP Construction, LLC a Delaware limited liability company (“Recipient”), whose address is 810 W. Washington St Winchester, IN 47394 ; each sometimes individually referred to as “Party” or collectively referred to as “Parties”.

WHEREAS, Recipient desires that DTE disclose certain Confidential Information relating to the Project; and

WHEREAS, DTE desires to protect the confidentiality of such information.

NOW, THEREFORE, for and in consideration of DTE’s disclosure of Confidential Information and of the mutual promises contained in this Agreement, each Party agrees as follows:

Project.  For purposes of this Agreement, Project means _________________________. 

Confidential Information. The term Confidential Information means any information disclosed by DTE, or on behalf of DTE, to Recipient, whether written, oral or otherwise and includes, but is not limited to, any and all technical, business or financial information or property owned by or licensed to DTE or otherwise relating to DTE and/or any of its affiliates and related entities which is disclosed to Recipient, including but not limited to information regarding products, processes, personnel, finances, operations, trade secrets, know-how, formulas, data, network configuration, strategic partners, drawings, proprietary information, marketing, strategic or other plans, energy generation, transmission or distribution costs, customer names or lists, prices, or any other non-public information.  Confidential Information includes information disclosed prior to formal institution of the Project, during the Project, or after formal termination of the Project.  Confidential Information also includes written notes, memorandum, analyses, studies or reports made or prepared by

AMPP appreciates the opportunity to submit this proposal to DTE and thanks DTE
for its consideration throughout the review process. We have carefully reviewed the
proposal requirements, operational expectations, and contract terms, and we look
forward to the opportunity to continue discussions and participate in the next stages

AMPP currently supports 15 utility customers, including two investor-owned
utilities, across Indiana, Michigan, and Ohio. Within these states, AMPP employs
approximately 300 lineworkers and maintains an excellent safety record through a
strong culture focused on training, accountability, and operational excellence. This
regional utility experience provides AMPP with a deep understanding of utility
expectations, workforce management, and the ability to safely and efficiently
support both routine and emergency operations.
Capabilities and Strategy
AMPP is a safety-driven utility contractor with the experience, operational flexibility,
and workforce infrastructure necessary to support DTE’s ongoing and future service
needs. Our team has extensive experience supporting investor-owned utility
operations through disciplined planning, responsive execution, and strong labor
partnerships. We maintain established relationships with local IBEW halls and utilize
strategic workforce planning to ensure qualified staffing resources are available to
support both baseload and seasonal workload demands.
Our operational strategy is centered on safety, responsiveness, workforce stability,
and operational continuity. AMPP can begin mobilization immediately upon award
and expects to achieve full operational readiness within approximately 30–60 days
